1. Acceptance of Terms
These Terms & Conditions ("Terms") govern your access to and use of the website, content, and AI automation services (collectively, the "Services") provided by GoDoIt AI Solutions ("GoDoIt", "AI-Godoit", "we", "us", or "our"). By accessing our website, submitting a form, or engaging us for services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
2. Our Services
GoDoIt provides AI consulting and automation services, which may include AI readiness audits, chatbots and call agents, automated proposals and quotes, social media management, landing pages, lead sourcing, database reactivation, CRM integration, automated legal workflows, cross-departmental and financial automation, and reporting and analytics.
The specific scope, deliverables, timelines, and fees for any engagement will be defined in a separate written proposal, statement of work, or order form ("Engagement Agreement"). Where an Engagement Agreement conflicts with these Terms, the Engagement Agreement controls for that engagement.
3. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms.
4. Accounts & Information
Information you submit (for example, through our audit form) must be accurate and complete. You are responsible for maintaining the confidentiality of any credentials shared with us and for all activity under your account or engagement. Notify us promptly of any unauthorized use.
5. Fees & Payment
- Fees are set out in the applicable Engagement Agreement and, unless stated otherwise, are exclusive of taxes.
- Invoices are due within the period stated on the invoice. Late amounts may accrue interest as permitted by law.
- Except where required by law or expressly stated, fees are non-refundable once work has commenced.
6. Client Responsibilities
To deliver the Services, we may require timely access to your systems, accounts, data, and personnel. You are responsible for obtaining all necessary rights, consents, and licenses for any data or materials you provide to us, and for ensuring your use of the Services complies with applicable laws, including data-protection and marketing regulations.
7. Intellectual Property
We retain ownership of our pre-existing materials, methods, tools, and know-how. Upon full payment, you receive a non-exclusive license to use the deliverables created specifically for you for your internal business purposes. You retain ownership of the data and content you provide to us.
8. AI & Third-Party Tools
Our Services may use artificial intelligence models and third-party platforms. AI-generated output can be inaccurate, incomplete, or unsuitable for a given purpose and should be reviewed by a qualified person before reliance. We are not responsible for the availability, performance, or terms of third-party services, and your use of them may be subject to their own agreements.
Nothing we provide constitutes legal, financial, tax, or professional advice. Automated legal workflows and similar deliverables are operational tools and do not replace review by a licensed attorney or relevant professional.
9. Confidentiality
Each party agrees to protect the other's confidential information and to use it only as necessary to perform under these Terms or an Engagement Agreement. This obligation does not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.
10. Disclaimers
The Services and website are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or achieve any particular result, revenue, or savings.
11. Limitation of Liability
To the maximum extent permitted by law, GoDoIt will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or related to the Services will not exceed the fees paid by you to us for the engagement giving rise to the claim during the three (3) months preceding the event.
12. Indemnification
You agree to indemnify and hold harmless GoDoIt and its personnel from any claims, damages, and expenses arising from your data or materials, your use of the Services in violation of these Terms, or your violation of any law or third-party right.
13. Term & Termination
These Terms apply while you use the Services. Either party may terminate an engagement as set out in the applicable Engagement Agreement, or immediately for material breach that remains uncured after written notice. Provisions that by their nature should survive termination (including IP, confidentiality, disclaimers, and liability limits) will survive.
14. Governing Law
These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in Georgia, and you consent to their jurisdiction.
15. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date reflects the latest revision. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
